Company Secretary
The company secretary is responsible for ensuring that we are compliant with statutory and regulatory requirements (Companies House and the Charity Commission) and with our Memorandum and Articles of Association.
This role may be combined with that of Board Secretary
The main requirements are:
- Ensuring that statutory forms and reports are filed promptly and meet the requirements of the regulators
- Providing members with notice of meetings
- Ensuring that meetings are quorate
- Keeping, or arranging for the keeping, of minutes of directors' meetings and general meetings
- Ensuring that people entitled to do so can inspect company records.
- Maintaining the statutory registers. These are:
- the register of members
- the register of directors and secretaries
- the register of directors interests
